Terms of Service

These terms are the agreement between TrueUp Limited – registered in Scotland, No. SC894246, registered office 51 Penicuik Drive, Glasgow, G32 6FD ("TrueUp", "we") – and you, the business using TrueUp ("you"). Installing or using TrueUp means you're accepting them. We've written them to be read: plain English first, with the precise legal wording underneath where it's needed.

The short version

  • TrueUp matches your Shopify payouts to your books. It doesn't replace your accountant, and it isn't giving you tax or accounting advice.
  • You review and confirm the setup once. After that, TrueUp automatically reconciles future payouts and writes the matching entries to your connected books. If an entry is wrong, tell us. We'll put it right.
  • You can leave whenever you like. We can end the service too, but only with 30 days' notice, sooner only if the law or Shopify requires it, or in the rare case of genuine abuse (see §4).
  • TrueUp is a business tool, and our liability has clear, stated limits (see §6). We're not liable for decisions you or your accountant make with the numbers we hand over, or for things outside our control (Shopify's API being down, your bank, etc.). If TrueUp itself is down for a while, matching is delayed, not lost: it catches up when the service is back (see §6).

The short version is a summary to help you find your way, not the agreement itself: the numbered clauses below are what binds us both. If the two ever read differently, the numbered clause counts.

1. What TrueUp is (and isn't)

1.1TrueUp reads your Shopify Payments payout data, works out how it should post against your books, and creates a matching entry in QuickBooks Online or Xero.

1.2TrueUp is not an accountant, a bookkeeper, or a tax adviser, and nothing it produces is professional accounting or tax advice. It's a tool that does one job: matching a payout to a bank deposit, to the penny. Having an accountant or bookkeeper review your books periodically (the same way you would with any accounting software) is your responsibility, and TrueUp doesn't remove the need for it. What TrueUp does is make that review faster and cheaper.

Specifically:

1.3TrueUp's reconciliation engine is a deterministic rules engine applied to Shopify's own payout data. It does not offer legal, tax, or financial advice, and nothing in the product or in communications from us should be relied on as such.

2. Your account, your data, your part of the job

2.1It's still your data. Connecting TrueUp to your Shopify store and your accounting software doesn't transfer ownership of anything to us: we're posting entries into books you own, using data you own.

2.2Confirm the setup once, then TrueUp keeps going. During setup, TrueUp shows you the account mapping and a preview of the entry it will create. By confirming that setup and authorising the connection, you instruct TrueUp to reconcile future payouts and write matching entries automatically using the confirmed mapping; there is no separate confirmation for each payout. You can review the entries in your accounting software after TrueUp creates them. Keep your Shopify and accounting logins secure, and only connect accounts you're allowed to connect. Your books, anything you file from them, and compliance with the accounting and tax laws where you operate remain your responsibility.

2.3You can leave any time. Uninstalling ends Shopify access and stops TrueUp running immediately. Accounting connections are revoked and your operational data is erased on the schedule in our Privacy Policy. We don't hold your books hostage, and we don't make leaving harder than installing.

Specifically:

2.4You grant TrueUp a limited licence to access and process your Shopify and accounting-platform data solely to provide the reconciliation service, for as long as your account is active. This licence doesn't extend to any other use of your data. You confirm you're authorised to connect the Shopify store and accounting organisation you connect, and you're responsible for keeping your own credentials secure, for reviewing and confirming the mapping and entry preview during setup, for periodically reviewing the entries TrueUp creates automatically, and for complying with the accounting and tax laws that apply to your business. If your use of TrueUp is unlawful, or breaches Shopify's, Intuit's, or Xero's terms, you're responsible for what follows from that, including reasonable costs and claims it causes TrueUp Limited. Uninstalling ends TrueUp's use of your data for reconciliation. During Shopify's roughly 48-hour grace window, TrueUp securely holds the accounting-connection credentials and operational data solely so a quick reinstall can resume; after that, the connections are revoked and erasure follows per our Privacy Policy.

3. Fees and billing

3.1Billing runs entirely through Shopify's own Billing system. TrueUp never sees or stores your card details. Your volume-based price is shown in the app before you're charged, and any change in what you're charged is shown to you for confirmation, never applied silently.

3.2Payment itself is Shopify's machinery too: if your subscription lapses or a charge fails, Shopify pauses the app's billing status and TrueUp pauses with it until it's restored: that's the platform working, not us terminating you. If you think a charge is wrong, tell us. We'll put it right if it is.

4. Fair use

4.1TrueUp's top pricing tier isn't capped by order volume: that's deliberate, not an oversight. It's there as a safety net against the rare case of genuinely abusive or automated use (for example, an account generating an implausible volume of activity that looks like an attempt to exploit the pricing model), not a limit a real, growing business should ever bump into. If we ever need to act on this, we'll talk to you first: the aim is a conversation, not a surprise.

4.2The same spirit applies beyond pricing: don't use TrueUp to break the law, don't try to break TrueUp (probing its security, scraping it, reselling access, or picking it apart to build a competitor), and don't use it in a way that breaches Shopify's, Intuit's, or Xero's own terms.

4.3We can end the service for any account, at any time, with at least 30 days' notice. The only exceptions are where we're required to act faster (by law, or by Shopify's own platform rules), or in a genuine fair-use case as described above, where we may pause an account sooner while we sort out what's going on.

Specifically:

4.4You may not copy, modify, reverse-engineer, resell, or sublicense the service, use it to build a competing product, probe or test its security without our written permission, or use it for any unlawful purpose. TrueUp may suspend or terminate an account (a) with 30 days' written notice for any reason, (b) immediately where required by law or by Shopify's Partner/App Store terms, or (c) immediately in cases of confirmed abuse, fraud, or a fair-use breach as described above. Where reasonably possible, we'll attempt to contact the account holder before any non-immediate suspension.

5. What's ours, what's yours

5.1Your data is yours: §2 already says so. The software is ours: TrueUp's code, design, brand, and the rules engine that does the matching belong to TrueUp Limited. Subscribing gives you the right to use TrueUp while you're subscribed; it doesn't transfer any of that to you. If you send us ideas or feedback, we can use them to make the product better without owing you anything, though we're genuinely grateful when you do.

Specifically:

5.2TrueUp Limited retains all intellectual-property rights in the service. You receive a limited, non-exclusive, non-transferable right to use the service for your business while your subscription is active. Feedback you provide may be used by TrueUp Limited without restriction or obligation.

6. Liability

6.1We do this job with reasonable skill and care, and we stand behind it: if TrueUp posts an entry wrong, tell us. We'll correct or reverse it. That's the remedy, and we mean it, but it depends on you raising it: if you or your accountant spots an issue with an entry TrueUp posted, it's your responsibility to tell us so we can put it right. We're not responsible for:

  1. Decisions made using the numbers TrueUp produces: that's between you and your accountant.
  2. Data that's wrong because of how Shopify, QuickBooks Online, or Xero themselves recorded it: we match what's there, we don't audit it.
  3. Outages or errors caused by those third-party platforms being down, changing their systems, or an issue on your end (your own account permissions, connection state, etc.).

6.2TrueUp itself will sometimes be unavailable: maintenance, a fault, an outage at our hosting provider. When that happens, matching is delayed, not lost: the service picks up where it left off and works through the payouts that arrived while it was down. We don't promise uninterrupted availability, and temporary downtime on its own isn't something we're liable for. Retiring or materially changing the service is a different thing: §4 and §8 still apply, 30 days' notice included.

Specifically:

6.3The service is provided with reasonable skill and care; to the maximum extent permitted by law, all other warranties, conditions, and terms implied by statute or common law are excluded.

6.4For a defective posting, your remedy is correction or reversal of the affected entries.

6.5The service is provided on an "as available" basis: availability is not warranted to be uninterrupted or error-free, and temporary unavailability of the service does not of itself give rise to liability.

6.6To the maximum extent permitted by law, TrueUp Limited's total aggregate liability arising from or related to the service is limited to the greater of US$50 and the fees actually paid by you in the 12 months preceding the claim.

6.7To the maximum extent permitted by law, TrueUp Limited is not liable for indirect, incidental, or consequential losses, or for loss of profits, revenue, or data.

6.8Nothing in these terms excludes or limits liability that can't be excluded or limited by law (e.g. for fraud, or death or personal injury caused by negligence).

6.9Each exclusion and limitation in this section applies separately. If any one of them is found unenforceable, the others still apply in full.

7. A business tool

7.1TrueUp is built for businesses: you're using it to run your store's books, which means you're using it in the course of business, not as a consumer.

Specifically:

7.2You confirm that you use the service in the course of business. To the extent permitted by law, consumer-protection regimes that apply to consumer contracts do not apply to these terms.

8. Changes to the service

8.1Shopify, QuickBooks Online, and Xero all change their systems (quarterly, in Shopify's case), so TrueUp has to be able to change too. We can improve, alter, or retire features as the platforms move. If we ever remove something material to how you use TrueUp, we'll give you notice on the same 30-day footing as §4, not spring it on you.

9. Changes to these terms

9.1If we change these terms in a way that matters, we'll tell you directly, not just update the date at the bottom of the page. Changes apply from the date we tell you, never retroactively. Continuing to use TrueUp after a material change means you've accepted it; if you don't agree, you can leave (see §2) with no penalty.

10. The legal housekeeping

The unavoidable legal furniture, in one place:

10.1If a court strikes out one part, the rest stands. Every clause of these terms operates independently: clause by clause, not just section by section. If any provision, or part of one, is found unfair or unenforceable, it applies with the smallest change needed to make it enforceable (or, if it can't be saved, it's severed), and every other clause, including the rest of the same section, stays in full force.

10.2These terms, together with the Privacy Policy, are the whole agreement between you and TrueUp Limited about the service: no side promises, in either direction.

10.3Not enforcing a term once doesn't waive it. If we let something slide, we can still rely on the term later.

10.4Neither of us is liable for what neither of us can control: events genuinely beyond a party's reasonable control suspend that party's obligations while they last.

10.5Transferring these terms. Your subscription is yours: it can't be transferred to someone else without asking us. We can transfer these terms if TrueUp Limited is sold or restructured, and your protections travel with them.

11. Governing law

11.1These terms are governed by the law of Scotland, and any dispute under them is subject to the exclusive jurisdiction of the Scottish courts.
